For the purposes of these Terms and Conditions, the following definitions apply: 

• “Client” is the purchaser of a Ministream (you)

• “Producer” is Outside the Box Ministries Inc., the owner of Ministream (us)

• “Content” is any video, audio, and/or graphics asset provided by Client to create a Ministream. 

 

Project deadlines will be dependent upon timely delivery by Client of Content; delays in Content delivery will delay Producer deliverables.

Client retains all rights and full ownership to the final Ministream production; Client is free to use final Content however preferred, including for sale.

Producer will make every effort to accommodate reasonable, appropriate, and common requests from Client for media edits, capture, artwork, and broadcast. At Producer’s sole discretion, Producer may limit or deny requests if Producer deems necessary for reasons including, but not limited to, excessive edits, excessive work hours required, requests beyond scope, or unreasonable demands. If Client and Producer cannot find reasonable agreement on project scope, Producer will refund Client in full.

Client is fully and solely responsible for the Content, including, but not limited to, all imagery and audio assets. Client affirms to have all necessary rights and permissions to use and modify all submitted Content, and Content does not infringe nor violate any third-party intellectual property rights, privacy or publicity rights. When posting a Ministream on any third-party website (such as Facebook or YouTube), Client affirms to have all rights necessary to distribute the Content, and Client agrees to obtain appropriate licensing for copyrighted material at Client’s expense, when necessary.

Client agrees to release and hold harmless Producer and its directors, officers, employees against any and all liability, damages, losses, claims, demands, actions, causes of action, costs (including attorneys’ fees and expenses) relating to infringement or alleged infringement of Intellectual Property Rights or other rights of any third-party for Content provided by Client.
